NewHold Investment Corp. III Shareholders Approve Business Combination with newcleo plc

NEW YORK, Sept. 17, 2026 (GLOBE NEWSWIRE) -- NewHold Investment Corp. III (NASDAQ: NHIC, “NewHold”), a publicly traded special purpose acquisition company, today announced that its shareholders have approved all proposals related to the previously announced business combination (the “Business Combination”) with newcleo plc (“newcleo”), a public limited company incorporated under the laws of England and Wales (f/k/a NewCleo Ltd., a private limited company incorporated under the laws of England and Wales) at NewHold’s Extraordinary General Meeting held today, Thursday, September 17, 2026.

Approximately 93.4% of the votes cast at the meeting on the Business Combination proposal were in favor of the combination with newcleo, representing approximately 72.4% of NewHold’s outstanding shares. The formal results of the vote will be included on a Form 8-K to be filed with the U.S. Securities and Exchange Commission (the “SEC”).

The closing of the Business Combination is anticipated to occur on or about Monday, September 21, 2026, upon satisfaction of customary closing conditions. Following the closing, the combined company will operate as newcleo plc (“newcleo”), and its shares of common stock and warrants are expected to trade on the Nasdaq Stock Market LLC under the symbols “NWCL” and “NWCLW,” respectively, beginning on or about Tuesday, September 22, 2026.
